Article 1 (Purpose and Definitions)
These Terms set out the rights, obligations and responsibilities between CodeSand Co., Ltd. (the "Company") and users in connection with the use of the database management application "DBerio" (the "Service") provided by the Company.
- Service: the desktop application "DBerio", which connects to MySQL/MariaDB, PostgreSQL, SQLite and Redis databases to view and edit their data and structure, and its related services.
- User: any person who agrees to these Terms and uses the Service.
- Store: the app marketplace from which the User obtained the Service, namely Apple's Mac App Store for the macOS version and the Microsoft Store for the Windows version.
- Paid Product: the auto-renewing subscription "Pro subscription" sold through in-app purchase on a Store.
- Connection Profile: a set of connection details (host, port, user name, SSH tunnel and TLS settings, etc.) that the User saves in the Service to connect to a database.
Article 2 (Effect and Amendment of the Terms)
These Terms take effect when posted on the Service website, and the User may view them at any time from the Help menu in the app.
The Company may amend these Terms to the extent that doing so does not violate applicable laws.
Changes that are not unfavorable to Users are posted on the Service website with the details of the change and its effective date, and take effect upon posting. This includes adding features, improving wording, clarifying the items collected and used, and correcting errors.
Changes that are unfavorable to Users are posted on the Service website with the details of the change and its effective date, starting 30 days before the effective date. This includes changes that reduce Users' rights or impose new obligations, discontinuing a feature that was provided, and narrowing refund conditions.
If the User continues to use the Service after the effective date of the amended Terms, the User is deemed to have agreed to them. A User who does not agree may stop using the Service at any time, and termination of the agreement is governed by Article 10.
Article 3 (Provision of the Service)
The Company provides the features necessary to achieve the purpose of the Service. The specific composition and use of each feature are explained on the app screens, and the list below is an example to describe the nature of the Service and does not limit the features the Company provides.
- Connecting to databases and saving and managing Connection Profiles
- Viewing and editing data and structure, writing and running queries
- Exporting results and backing up databases
- Support for secure connection methods such as SSH tunnels and TLS
- Other features the Company additionally develops or provides through partnerships
The Service can be used free of charge within a certain range. The range available free of charge and what changes when using the Paid Product are shown on the Service website and on each Store's product page, and are the same for the macOS and Windows versions.
The Company may change, add or discontinue individual features to improve the quality of the Service and operate it stably. However, changes that have a significant impact on Users, such as discontinuing the entire Service, are posted in advance in the manner set out in Article 2.
The Service is in principle provided all year round, but may be temporarily suspended for good reasons such as system maintenance, equipment replacement or failures of external services. In that case, the Company gives notice in advance to the extent possible and resumes the Service without delay once the cause is resolved. However, because the Service does not keep Users' data on a server, such a suspension in principle does not affect the use of data stored on the device.
If the Company ends the provision of the entire Service, it will post a notice on the Service website at least 30 days in advance. Before the end, the User can keep a separate record of connection details or back up databases.
Article 4 (Limitations of the Service and the User's Responsibility)
This Article contains information that must be checked before using the Service. The Service has the following limitations, and the User uses the Service with an understanding of them. Article 12 (Disclaimer) is premised on this Article.
A. The Service passes the commands the User runs as they are
- The Service passes the queries and edits the User runs, as they are, to the database server the User specifies. The Service does not judge whether a command is correct or whether it produces the result the User intended.
- Changes to and deletion of data take place on the database server and, depending on the server's settings, may be irreversible. The Company cannot recover data that was changed or deleted on a server.
- Always make a backup before working on a production database.
B. Safeguards are aids
- Features such as "Mark as production server" are aids to reduce mistakes; they do not protect or recover data.
- The User must have the necessary permissions for the databases the User connects to, and the User is responsible for the scope of those permissions and for the operations run within them.
C. Behavior may differ depending on the environment
- Depending on the type, version and settings of the database server, the network and the operating system, the same feature may behave differently or some features may not be available.
- The Company does not guarantee environments it cannot control, such as database servers, networks and operating systems.
D. Managing connection details and passwords
- Connection Profiles are stored only on the User's device, and passwords are stored in the operating system's password store (macOS Keychain, Windows Credential Manager). Because the Company does not keep this information, it cannot recover information lost through loss or reset of a device or deletion of the app.
- If another person can use the User's device and operating system account, that person can also connect to databases with the saved connections. The User is responsible for managing the device and operating system account.
Article 5 (Use and Accounts)
The Service is used without an account. There is no sign-up or login, and the Company does not create or keep accounts that identify Users.
The Connection Profiles, passwords and workspace state the Service handles are all stored only on the User's device. The Company does not operate a server that receives Users' data, and the contents of the User's databases travel only between the User's device and the servers the User specifies. Details of where data is stored are set out in the Privacy Policy.
Article 6 (User Obligations and Prohibited Acts)
The User must comply with applicable laws and these Terms and must not:
- connect with the Service to databases or systems the User is not authorized to access;
- use the Service for any purpose that violates the law;
- reverse engineer, decompile or disassemble the Service, except where applicable law permits;
- circumvent or disable the Service's usage limits, such as subscription checks, or obtain the benefits of the Paid Product by improper means;
- resell, rent or distribute the Service;
- engage in any other act contrary to applicable laws or these Terms.
Article 7 (Rights and Responsibility for Content)
The contents of the databases the User handles with the Service, and the queries the User writes and the files the User exports, belong to the User (or the relevant rights holders). The Company claims no rights to them and does not store or view them on its servers.
Intellectual property rights in the Service and its components (software, design, icons, text, etc.) belong to the Company. The Company grants the User a non-exclusive, non-transferable right to use the Service in accordance with these Terms, for both personal and business purposes. These Terms do not transfer ownership of the Service.
Open-source components included in the Service are governed first by their respective licenses.
If the User obtained the Service from a Store, the above right of use is exercised to the extent permitted by the usage rules of that Store (the Mac App Store or the Microsoft Store). If the Service was obtained from the Mac App Store, Article 15 also applies.
Article 8 (Paid Products, Payment and Refunds)
The Service offers the Pro subscription as a Paid Product. The Pro subscription is an auto-renewing subscription on a monthly or yearly basis, and its types, prices and scope of use are shown on the Service website and on each Store's product page. The Paid Product is sold through the Store from which the User obtained the Service, and the price is the amount shown on that Store. The Company does not collect or store payment method information such as card numbers.
A. If obtained from the Mac App Store (macOS version)
- The seller of the Paid Product is the Apple App Store. Payment is charged to the User's Apple account when the purchase is confirmed.
- A subscription renews automatically for the same period unless it is cancelled at least 24 hours before the end of the current period, and the renewal is charged within the 24 hours before the period ends. If the renewal price changes, notice is given in advance through the App Store's process and, where required, the User's consent is obtained.
- Where a free trial is offered, it converts to a paid subscription unless cancelled at least 24 hours before the trial ends. If the User purchases a paid subscription during the trial, the remaining trial period is forfeited.
- Subscriptions can be managed and cancelled in the App Store account settings. Even after cancellation, the Pro subscription remains active until the end of the period already paid for; cancellation stops the next payment.
- Refund requests and payment cancellations for amounts paid on the App Store are handled through Apple, and whether a refund is available and how long it takes follow Apple's policy.
- A subscription applies to the Apple account that purchased it, and can be applied again with "Restore Purchases" on a device signed in with the same Apple account.
B. If obtained from the Microsoft Store (Windows version)
- The Pro subscription is sold as a Microsoft Store add-on subscription, and payment is processed by the Microsoft Store.
- A subscription renews automatically for the same period unless it is cancelled. When the renewal is charged and how changes to the renewal price are notified follow the Microsoft Store's process.
- First-time subscribers get a 7-day free trial. The conditions under which the trial converts to a paid subscription after it ends follow the information shown on the Microsoft Store screen at the time of purchase.
- Subscriptions can be managed and cancelled at any time in the User's Microsoft account.
- Refund requests and payment cancellations for amounts paid on the Microsoft Store are handled through Microsoft, and whether a refund is available and how long it takes follow Microsoft's policy.
C. Common provisions
- When a subscription ends, Connection Profiles already saved are not deleted and remain usable. However, saving new profiles or opening additional connections beyond the free range (Article 3) is restricted.
- A Store's refund process does not limit the User's rights of withdrawal and refund guaranteed by applicable law, and related inquiries can also be sent to the Company (Article 14).
- Under Article 17 of the Act on the Consumer Protection in Electronic Commerce, etc. of Korea, the User may in principle withdraw an offer within 7 days from the date of purchase. However, under paragraph 2 of the same Article, withdrawal may be restricted for digital content whose provision is completed immediately upon purchase, once its provision has begun.
The Company may change the types, prices or composition of Paid Products or stop selling them. However, rights already acquired by Users who have completed payment are not retroactively reduced or affected by such changes.
Article 9 (Restriction of Use)
If the User violates these Terms or applicable laws, the Company may restrict the use of the Service to the extent permitted by applicable law. However, because the Service has no accounts, there is no means of identifying and suspending an individual User, and restrictions are made by means such as discontinuing the relevant feature, measures through app updates and compliance with store distribution policies. The User bears legal responsibility arising from unlawful use.
The User may object to a measure through the contact in Article 14, and if the objection is justified, the Company lifts the measure without delay.
Article 10 (Termination of the Agreement)
The User may stop using the Service at any time by deleting the app. Because the Service has no accounts, there is no separate withdrawal request or notice to the Company.
- Passwords stored in the operating system's password store may remain after the app is deleted. They can be removed directly in Keychain on macOS or in Credential Manager on Windows.
- An auto-renewing subscription is not cancelled by deleting the app. To stop payment, cancel the subscription in the Store from which the User obtained the Service. For the Mac App Store version, cancel in the App Store account settings; for the Microsoft Store version, cancel in the User's Microsoft account (Article 8).
- How to delete data is explained in Article 7 of the Privacy Policy.
Article 11 (Protection of Personal Information)
The Company protects Users' personal information in accordance with applicable laws such as the Personal Information Protection Act of Korea. Matters concerning the collection, use, provision, entrustment, overseas transfer, retention period and destruction of personal information are set out in the separate Privacy Policy.
Article 12 (Disclaimer)
- The Company is not liable for damage caused by the limitations of the Service described in Article 4. This includes in particular the results of data being changed or deleted by commands the User ran.
- The Company is not liable for decisions the User makes based on information obtained through the Service or for their results.
- The Company is not liable for damage caused by problems in environments it cannot control, such as database servers, networks and operating systems.
- The Company is exempt from liability where it cannot provide the Service due to force majeure, such as natural disasters, power outages, communication failures, or failures of operating systems or external services (such as app stores).
- Unless applicable law provides otherwise, the Company is not liable in connection with the use of the Service provided free of charge. The Company's liability in connection with the Paid Product is limited, to the extent permitted by applicable law, to the amount paid by the User concerned.
- The limitations of liability in this Article do not apply to damage caused by the Company's intent or gross negligence, and do not limit the rights guaranteed to Users by applicable law.
Article 13 (Dispute Resolution and Jurisdiction)
The laws of the Republic of Korea apply to the interpretation of these Terms and to disputes between the Company and Users.
If a dispute arises in connection with the use of the Service, the Company and the User will try to resolve it through consultation in good faith, and lawsuits concerning disputes not resolved through consultation are filed with the competent court under the Civil Procedure Act of Korea.
Before filing a lawsuit, the User may apply for dispute mediation to relevant organizations such as the Korea Consumer Agency's consumer counseling center and the Personal Information Dispute Mediation Committee.
However, if the User is a consumer residing in a country other than the Republic of Korea, the rights guaranteed by the mandatory rules of that country are not limited.

Article 15 (Additional Terms for Apps Obtained from the Mac App Store)

- If the Service fails to conform to an applicable warranty, the User may notify Apple, and Apple will refund the purchase price of the Service. - The Company, not Apple, handles any claims by the User or a third party relating to the Service, including product liability claims, claims of failure to conform to legal or regulatory requirements, and claims under consumer protection laws.
- If a third party claims that the Service or the User's possession and use of the Service infringes that third party's intellectual property rights, the Company, not Apple, is responsible for the investigation, defense, settlement and discharge of that claim.
- The User confirms that the User is not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and is not listed on any U.S. Government list of prohibited or restricted parties.
- Questions, complaints and claims about the Service should be sent to the contact in Article 14.
- When using the Service, the User must comply with the terms of any applicable third-party services.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and once the User agrees to these Terms, Apple has the right, as a third-party beneficiary, to enforce these Terms against the User and is deemed to have accepted that right.
